By creating an account, accessing, or using Messa, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy. If you are using Messa on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Messa is a platform designed to improve hiring and interview processes. Key features include:

• Messa Sidekick – An AI-powered assistant that helps interviewers conduct, document, and evaluate interviews.
• Transcription & Analysis – Recording, transcribing, and analyzing interview conversations.
• Integrations – Connecting with applicant tracking systems (ATS), video conferencing tools, and other third-party services.

3. Account Registration & Security

• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorized use of your account.
• Messa is not responsible for any loss or damage resulting from your failure to protect your account.

4. Use of the Services

You agree to use Messa:

• In compliance with all applicable laws and regulations.
• For lawful hiring and interview purposes only.
• In a manner that does not infringe on the rights of others or harm the Services.

5. User Content & Intellectual Property

a) Your Content

You retain ownership of all content you upload or generate using Messa (e.g., interview recordings, transcripts, notes). By using the Services, you grant Messa a non-exclusive, worldwide license to host, process, and analyze your content to provide and improve the Services, as described in our Privacy Policy.

b) Messa's Intellectual Property

Messa and Sidekick, including all software, designs, algorithms, and branding, are owned by Messa Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Services.

6. Payments & Subscriptions

• Certain features may require a paid subscription.
• All fees are non-refundable unless otherwise stated.
• You authorize us to charge your payment method on a recurring basis until you cancel.
• We reserve the right to change pricing with advance notice.

7. Prohibited Conduct

You may not:

• Use Messa for any unlawful, discriminatory, or harmful purposes.
• Attempt to access, interfere with, or disrupt the Services or servers.
• Upload malicious software, viruses, or harmful code.
• Scrape, harvest, or collect data from the Services without permission.
• Impersonate another person or misrepresent your affiliation.
• Violate the privacy or rights of interview participants.

8. Disclaimers & Limitation of Liability

a) No Warranties

Messa is provided "as is" without warranties of any kind. We do not guarantee that the Services will be error-free, uninterrupted, or secure.

b) Limitation of Liability

To the fullest extent permitted by law, Messa Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid to Messa in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Messa Inc., its affiliates, and employees from any claims, damages, or expenses arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in harmful conduct. You may cancel your account at any time from your account settings. Upon termination, you will no longer have access to your data unless you export it before cancellation.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or in-app notice. Your continued use of Messa after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco, California.
